This agreement outlines the terms and conditions between Skate Tech ("we", "our", or "us") and the Client (OOSH centre, school, or organisation) for the provision of a Skate Tech coaching program ("Program").
1. BOOKING AND CONFIRMATION
1.1. A Program is only confirmed once a $100 non-refundable deposit has been received, unless otherwise stated by Skate Tech.
1.2. The remaining balance is invoiced upon booking confirmation and must be paid no later than 48 hours prior to the scheduled Program start time.
1.3. Failure to pay the full balance by the due date may result in cancellation of the Program by Skate Tech, with the deposit forfeited.
2. PROGRAM DELIVERY AND REQUIREMENTS
2.1. The Client must provide a flat, safe surface such as a basketball court or COLA. A covered or indoor area is strongly preferred in case of wet weather.
2.2. Skate Tech will bring and use equipment including, but not limited to, skateboards, helmets, knee pads, wooden ramps, cones, mats, and mobile obstacles. These will be placed and used within the designated Program area.
2.3. Only Skate Tech coaches or authorised representatives may move or handle the equipment and obstacles unless expressly authorised by Skate Tech.
2.4. Only Skate Tech coaches are permitted to instruct or assist with the delivery of the Program unless expressly authorised by Skate Tech.
2.5. All participants must wear the provided safety gear for the duration of the Program.
2.6. All participants must have signed a valid waiver prior to participation.
2.7. The Client must ensure that no students who are not participating in the Program interfere with the designated area or use any Skate Tech equipment.
2.8. All Skate Tech coaches over the age of 18 possess valid Working With Children Checks (WWCC).
2.9. The Client is responsible for managing student attendance, behaviour, and overall supervision outside the Skate Tech instructional zone.
3. PARTICIPATION, CONDUCT AND CAPACITY
3.1. The Client agrees that all information provided to Skate Tech is accurate and complete to the best of their knowledge.
3.2. The Client must notify Skate Tech in advance of any site-specific policies, restrictions, or any medical or behavioural issues that may impact the delivery of the Program.
3.3. The agreed number of participants must not be exceeded. If the number of participants exceeds the agreed capacity, Skate Tech reserves the right to cancel the Program in accordance with clause 4.3.
3.4. The Client must ensure all participants comply with instructions and safety guidelines. Skate Tech reserves the right to remove or exclude any participant from the Program if they are not following safety protocols or engaging in unsafe or disruptive behaviour.
3.5. The Client must ensure that all participants and staff comply with applicable laws and regulations, including site safety and insurance obligations.
3.6. The Client must hold appropriate insurance coverage for their site and activities.
3.7. Skate Tech does not guarantee individual progression or skill advancement as a result of participating in the Program.
4. CANCELLATIONS BY THE CLIENT
4.1. All deposits are non-refundable, regardless of notice period.
4.2. Cancellations made 48 hours or more before the Program start time will not incur further charges, but the deposit will be forfeited.
4.3. Cancellations made within 48 hours of the Program start time are non-refundable, and the full Program fee is payable.
4.4. No reduction in the total Program cost or refund will be provided if the number of participants is less than anticipated, or if any participants are unable to take part.
4.5. If the Program is cancelled by Skate Tech due to the Client exceeding the agreed participant capacity, this will be treated as a cancellation by the Client under clause 4.3.
5. WEATHER-RELATED CANCELLATIONS
5.1. Programs are expected to proceed in wet weather if a suitable indoor or covered space is available.
5.2. If the Program cannot proceed due to weather and no suitable covered area is available, the full amount paid will be credited toward a future Program. A weather-related cancellation fee may be deducted from the total credit, at the discretion of Skate Tech.
5.3. The weather-related cancellation fee is determined solely by Skate Tech and reflects reasonable costs incurred, including staff scheduling, preparation, travel, and lost bookings.
5.4. Credit for weather-related cancellations applies only if:
a) The cancellation is due to unsafe weather;
b) No suitable covered space is available;
c) Notice is given prior to Program commencement;
d) The cancellation is mutually agreed upon;
e) The cancellation is confirmed at the sole discretion of Skate Tech.
5.5. The Client may not cancel a Program on the basis of weather or safety without approval from Skate Tech.
5.6. No refunds are available for weather-related cancellations.
6. CANCELLATIONS BY SKATE TECH
6.1. In the unlikely event that Skate Tech must cancel a Program due to unforeseen circumstances, the Client will be notified as soon as reasonably possible.
6.2. The Client will be offered an alternative date and time to reschedule the Program.
6.3. Refunds will not be provided for cancellations made by Skate Tech.
7. LIABILITY AND INDEMNITY
7.1. Skate Tech will take reasonable precautions to ensure the safety of all participants, staff, and equipment during the Program.
7.2. The Client agrees that participation in skateboarding and related activities involves inherent risks. To the extent permitted by law, Skate Tech disclaims all liability for injury, loss, or damage sustained by participants, spectators, or property during the Program.
7.3. The Client agrees to indemnify and hold harmless Skate Tech, its staff, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from or related to:
a) Breach of this agreement;
b) Injury or damage occurring during the Program due to participant actions, site hazards, or unforeseen circumstances;
c) Any negligent or unlawful acts or omissions by the Client, its staff, or attendees.
8. GENERAL
8.1. This Agreement is governed by the laws of New South Wales, Australia.
8.2. By confirming a booking and paying the deposit, the Client agrees to the terms of this Agreement.
8.3. Skate Tech reserves the right to update this Agreement with reasonable notice to the Client prior to the delivery of the Program.
8.4. Discretion may be exercised by Skate Tech in circumstances not explicitly covered by this Agreement, and any waivers of terms must be made in writing.
8.5. This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior discussions or representations.
